Non-profit organisations

We work with our clients from the outset of their projects, analysing the most suitable legal form for the entity to be incorporated. We also draft bylaws, internal regulations, action plans, and collaboration agreements with businesses and institutions.

We provide comprehensive legal advice for these entities in their day-to-day operations. This includes carrying out carry out Secretariat functions for various governing bodies (Boards of Trustees, Assemblies, Boards, Committees), drafting all types of legal documents, managing direct relations with Registries and Protectorates, and advising on potential liabilities faced by directors and trustees.

We specifically serve a wide range of science and technology operators, offering tailored advice on contractual matters, self-contracting, and start-up creation. We also assist them with accreditation processes for various science and technology networks and public registries.

It should be pointed out that our team includes professionals with expertise in advising non-profit organizations, with a special emphasis on the unique tax considerations of these entities. This includes Corporate Income Tax (such as the requirements for applying the special tax regime, types of exempt income, etc.) and Value Added Tax (including taxpayer status, exemptions, and the tax deductibility system).

We are also committed to optimizing tax incentives for corporate sponsorship and patronage, to which those who wish to support the public interest activities of associations and foundations are eligible.

Lastly, we have extensive experience in restructuring and transformation transactions involving non-profit entities, including mergers, the conversion of associations into foundations, and the global transfer of corporate assets and liabilities from companies to foundations. We always pay particular attention to complex issues involved such as the risk of losing subsidies, contract terminations, as well as the tax and employment implications.
