Our work includes advising on day-to-day corporate activities, such as company incorporations, general shareholders’ meetings, meetings of management bodies, the appointment and removal of directors, share capital increases and reductions, bylaw amendments, company winding up and liquidation, dividend distributions, bookkeeping, and the filing of annual accounts. We also have extensive experience serving as legal advisor or secretary non-member to boards of directors.

We draft bylaws and shareholders’ agreements with a focus on our clients’ objectives, anticipating and mitigating potential future conflicts. Additionally, we assist in mediating and resolving shareholder disputes and defend their interests in both judicial and extrajudicial proceedings.

Furthermore, we assist our clients with all matters related to regulatory compliance and corporate governance, with a particular emphasis on the duties and responsibilities of executives and management bodies.

We also assist in the definition, drafting, negotiation, and formalization of all types of commercial agreements, including agency, distribution, manufacturing, supply, purchase/sale, transfer of use, licensing, turnkey, technology transfer, and joint venture agreements, for both national and international projects.
